1. Acceptance of Terms
By accessing or using Logic Racks' website (logicracks.com) and services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.
2. Services
Logic Racks provides digital agency services including but not limited to:
- Custom web development and e-commerce solutions
- UI/UX design and graphic design
- SEO, PPC, and social media marketing
- SaaS products (POS, LMS, ERP, hospital systems, etc.)
- Video production and audio engineering
- IT infrastructure, hosting, and CCTV monitoring
- Corporate IT training
All services are subject to individual project agreements and proposals.
3. Project Agreements
- Each project begins with a signed proposal or statement of work (SOW) outlining scope, timeline, and deliverables.
- Changes to scope ("scope creep") may result in additional charges and revised timelines.
- We reserve the right to decline projects that conflict with our values or capabilities.
4. Payment Terms
- Custom Projects: 50% advance payment to initiate, 50% upon completion (unless otherwise agreed in the SOW).
- SaaS Products: Monthly or annual subscription plans as listed on product pages. Prices are in PKR unless specified otherwise.
- Late Payments: Invoices overdue by more than 14 days may incur a 5% monthly late fee. We reserve the right to pause work on overdue accounts.
- Payment Methods: Bank transfer, JazzCash, EasyPaisa, or international wire transfer.
5. Intellectual Property
- Client Work: Upon full payment, all custom deliverables (code, designs, content) are transferred to the client.
- SaaS Products: You receive a license to use our software. The underlying code, architecture, and IP remain the property of Logic Racks.
- Portfolio Rights: We reserve the right to showcase completed projects in our portfolio unless explicitly restricted in writing.
- Third-Party Assets: Licensed fonts, images, or plugins used in projects are subject to their respective licenses.
6. Warranties & Liability
- We deliver services with professional care and skill, but do not guarantee specific business outcomes (e.g., revenue targets, search rankings).
- Custom projects include a 30-day bug-fix warranty after handover. This covers defects in our code — not changes in requirements, hosting issues, or third-party failures.
- SaaS products are provided "as-is" with uptime targets specified in the relevant SLA.
- Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim.
7. Cancellation & Refunds
- Custom Projects: If cancelled before 50% completion, a refund of unused advance (minus hours worked at our standard rate) will be provided. No refund after 50% completion.
- SaaS Subscriptions: Cancel anytime. No refund for the current billing period. Access continues until the period ends.
- We may terminate a project if the client is unresponsive for more than 30 consecutive days, with written notice.
8. Confidentiality
Both parties agree to keep all project-related information, business strategies, credentials, and proprietary data confidential. This obligation survives the termination of the engagement.
9. Client Responsibilities
- Provide timely feedback, content, and approvals to keep projects on schedule
- Ensure all materials provided to us are legally owned or properly licensed
- Maintain backups of your own data — we are not liable for data loss on client-managed servers
10. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be resolved through good-faith negotiation first, then through the courts of England and Wales if necessary.
11. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or website notice. Continued use of our services constitutes acceptance of updated terms.
